End-User License Agreement

Please read this agreement carefully before using our services and applications.

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and SolveIT Solutions ("Company," "we," "our," or "us") governing your use of our software applications, services, and integrations (collectively, the "Services").

By accessing or using our Services, including any applications that integrate with third-party platforms such as QuickBooks, you agree to be bound by this Agreement. If you do not agree to these terms, do not use our Services.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use our Services for your internal business purposes
  • Connect our applications to your authorized third-party accounts (e.g., QuickBooks)
  • Use the features and functionality provided within the scope of your subscription or service agreement

3. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to the Services or related systems
  • Use the Services to transmit malware, viruses, or harmful code
  • Share your account credentials with third parties
  • Use automated systems or software to extract data from the Services (scraping)

4. Third-Party Integrations

Our Services may integrate with third-party platforms, including but not limited to Intuit QuickBooks. When using these integrations:

  • You must have a valid account and appropriate permissions with the third-party service
  • You are responsible for complying with the third-party's terms of service
  • We are not responsible for the availability, accuracy, or functionality of third-party services
  • Third-party services may have their own privacy policies and data practices
  • You authorize us to access your third-party account data as necessary to provide our Services

5. QuickBooks Integration Specific Terms

If you use our QuickBooks integration features:

  • You must maintain an active QuickBooks subscription
  • You authorize us to read and write data to your QuickBooks account as required for the Services
  • You are responsible for the accuracy of data synchronized between our Services and QuickBooks
  • We comply with Intuit's developer program requirements and API usage policies
  • You may revoke our access to your QuickBooks account at any time through QuickBooks settings

6. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use of the Services complies with applicable laws and regulations
  • Providing accurate and complete information when creating an account
  • Notifying us immediately of any unauthorized use of your account

7. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, text, graphics, logos, and trademarks, are owned by SolveIT Solutions or our licensors. This Agreement does not grant you any rights to our intellectual property except for the limited license described above.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable advance notice
  • Make updates or changes to improve the Services
  • Suspend access if required for security or legal reasons

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLVEIT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless SolveIT Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of this Agreement
  • Your violation of any third-party rights
  • Any data you submit or transmit through the Services

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination:

  • Your license to use the Services immediately ends
  • You must cease all use of the Services
  • We may delete your account and associated data after a reasonable period
  • Provisions that by their nature should survive termination will remain in effect

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in Montreal, Quebec.

15. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Agreement.

16. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and SolveIT Solutions regarding the Services and supersedes all prior agreements and understandings.
